Credit Terms & Conditions
- Payment Terms: All invoices are due Net 15, payable within fifteen (15) days of the invoice date, unless otherwise agreed in writing.
- Accepted Payment Methods: Payment may be made by check or ACH. Credit card payments are accepted and subject to a 3.5% processing surcharge, which will be added to the invoice total.
- Late Payment & Interest: Invoices not paid within thirty (30) days from the invoice date may, at the discretion of Westflag LLC, accrue interest at a rate of 1.5% per month (18% annually) or the maximum rate permitted under Oregon law, whichever is less.
- Collection & Legal Costs: Client agrees to be responsible for all costs incurred in the collection of unpaid balances, including but not limited to reasonable attorney fees, court costs, collection agency fees, and other related expenses, as permitted under Oregon law.
- Suspension of Services: Westflag LLC reserves the right to suspend services or revoke credit privileges for accounts that are past due.
- Governing Law & Venue: This agreement shall be governed by the laws of the State of Oregon. Venue for any legal action shall be in the county in which Westflag LLC maintains its principal place of business, unless otherwise required by Oregon law.
- Authorization to Verify Credit: Applicant authorizes Westflag LLC to contact trade references and other sources to evaluate creditworthiness.
Personal Guarantee
In consideration of credit being extended to the Applicant, the undersigned individual(s) personally, unconditionally, and jointly and severally guarantee full and prompt payment of all obligations, charges, and indebtedness incurred by the Applicant to Westflag LLC, including principal, interest, collection costs, and attorney fees.
This is a continuing guarantee and shall remain in effect until all amounts owed are paid in full. The Guarantor waives notice of default, demand for payment, and any requirement that Westflag LLC pursue the Applicant prior to enforcing this guarantee.
The undersigned represents and warrants that they are an owner, member, partner, or shareholder of the Applicant, with sufficient authority and ownership interest to execute this Personal Guarantee and bind themselves personally to its terms.
This guarantee shall be governed by the laws of the State of Oregon.
